Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Vega Sports Intelligence platform and website at vegasports.ai (the “Service”), provided by Vega Sports Intelligence (“Vega,” “we,” “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree on its behalf and represent that you have authority to do so.
1. The Service
Vega provides sponsorship-intelligence tools for sports organizations, including benchmarking, prospect discovery, renewal tracking, and the generation of proposals and decks. We may update, add, or remove features over time.
2. Accounts & eligibility
- Access is provided to provisioned or invited users within a customer organization.
- You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
- You must be at least 16 and able to form a binding contract to use the Service.
- You must provide accurate information and keep it up to date.
3. Acceptable use
You agree not to:
- Use the Service in violation of any law or third-party right;
- Access data belonging to another organization or attempt to bypass access controls;
- Reverse engineer, resell, or create derivative works from the Service except as permitted by law;
- Introduce malware, disrupt, or place undue load on the Service;
- Scrape or extract data other than through features we provide.
4. Your content & data
You retain all rights to the content and data your organization submits to the Service (“Customer Data”). You grant Vega a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for having the necessary rights to your Customer Data.
5. Third-party services
The Service integrates with third-party services (for example Google) at your option. Your use of those services is governed by their own terms and policies, and we are not responsible for them. Where you connect an integration, you authorize Vega to access the relevant data to provide the feature.
6. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Vega and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
7. Fees
Access to the Service is provided under the plan or order form agreed with your organization. Fees, if any, are set out in that agreement.
8. Disclaimers
The Service is provided “as is” and “as available.” Vega does not warrant that the Service will be uninterrupted or error-free, or that analyses, estimates, or data are complete or accurate. Outputs are provided for informational purposes and are not professional, legal, or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, Vega will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amounts paid by your organization to Vega in the twelve months preceding the claim, or CAD $100 if no amounts were paid.
10. Indemnification
You agree to indemnify and hold Vega harmless from claims arising out of your Customer Data or your use of the Service in violation of these Terms or applicable law.
11. Termination
We may suspend or terminate access if you breach these Terms or to protect the Service. You may stop using the Service at any time. On termination, your right to use the Service ends; provisions that by nature should survive will survive.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario will have exclusive jurisdiction, subject to any mandatory local consumer protections.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the effective date above, and continued use of the Service after changes take effect constitutes acceptance.
